Terms and Agreement for
"The Money Toolbox for Coaches and Consultants"
1. License and Usage Rights
1.1 Upon purchase, you ("Client") are granted a non-exclusive, non-transferable, and unlimited license to use "The Money Toolbox for Coaches and Consultants" ("the Product") within your business operations and for coaching your clients.
1.2 You may use the Product in your coaching sessions, training, or other services with your clients. However, you may not resell, redistribute, or sublicense the Product or any portion thereof to any third party without express written consent from Exceptional Tax Services LLC.
2. Intellectual Property Rights
2.1 The Product and all associated materials, including but not limited to spreadsheets, frameworks, e-books, and training modules, are the intellectual property of Exceptional Tax Services LLC. All rights not expressly granted in this agreement are reserved.
2.2 You agree not to claim ownership of the Product or any part thereof, nor to create derivative works for resale or distribution without express written consent from Exceptional Tax Services LLC.
3. Restrictions on Use
3.1 You may not copy, modify, adapt, translate, reverse-engineer, or create derivative works based on the Product for the purpose of redistribution, resale, or sublicensing.
3.2 You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary notices associated with the Product.
4. Termination of Rights
4.1 Your rights under this agreement are subject to compliance with its terms. Exceptional Tax Services LLC reserves the right to terminate your license to use the Product if you breach any of the terms in this agreement.
4.2 In the event of termination, you agree to immediately cease using the Product and destroy or return all copies of the Product and related materials.
5. Limitation of Liability
5.1 Exceptional Tax Services LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Product, except where such liability is prohibited by law.
5.2 Your use of the Product is at your own risk. Exceptional Tax Services LLC makes no warranties or guarantees, express or implied, regarding the accuracy, reliability, or completeness of the Product.
6. Governing Law and Jurisdiction
6.1 This agreement shall be governed by and construed in accordance with the laws of [Atlanta, GA, USA].
6.2 Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in [Atlanta, GA, USA].
